GENERAL CONDITIONS – SANUM B.V. (Hosting Server / hostingserver.be)

Article 1 – Definitions and General Provisions

  1. In these general terms and conditions the following definitions apply:

    • Sanum: the private company Sanum B.V., statutory owner and operator ofHosting Serverand hostingserver.be, hereinafter referred to as:Sanum.

    • Client: any natural or legal person who enters into an agreement with Sanum or uses Sanum services.

    • Services: all services offered and supplied by Sanum, including but not limited to: web hosting, server hosting, e-mail hosting, domain name registration, VPS services, dedicated servers, maintenance, optimization and other online services.

    • Agreement: any written agreement, digital agreement or order between Sanum and the Client.

    • Data center: facility in which Sanum servers, network equipment and related infrastructure are located.

  2. These general terms and conditions apply to all quotations, offers, agreements, deliveries and conduct of Sanum.

  3. Deviations from these conditions are only valid if agreed in writing.

  4. General or purchasing conditions of the Client are expressly statedrejected.

  5. If any provision is found to be invalid, the remaining provisions will remain in full force and effect.

  6. Sanum's failure to demand compliance does not affect its right to do so later.


Article 2 – Offers, Conclusion and Duration of the Agreement

  1. All offers from Sanum are without obligation, unless stated otherwise in writing.

  2. An agreement is concluded as soon as:

    • Client places an order and confirms it digitally; or

    • Sanum confirms the request in writing or digitally.

  3. Sanum reserves the right to refuse requests without stating reasons.

  4. Agreements are entered into:

    • monthly, unless otherwise agreed

    • annualwith any promotional benefits (such as 3 months free)


Article 3 – Prices, Rates and Payment

  1. All prices are exclusive of VAT, unless stated otherwise.

  2. Prices only apply to the clearly described service in the agreement.

  3. Additional work, upgrades, migrations, development work or manual technical interventions will be invoiced at the then applicable hourly rate.

  4. Sanum may adjust prices annually due to market fluctuations, cost increases ordata centerand licensing costs.

  5. Payment must be made within14 daysafter invoice date.

  6. In case of non-payment:

    • The client is automatically inomission, without notice of default.

    • Sanum is allowed to servesuspend or block.

    • Sanum may charge statutory interest and extrajudicial costs (minimum €250).

  7. Payments first cover costs, then interest and then principal.


Article 4 – Delivery, Hosting Services and Availability

  1. Sanum strives for optimal availability of all services.

  2. Sanum does not offer an absolute uptime guarantee, but strives for availability99,9%.

  3. Maintenance can lead to temporary interruption. Where possible this will be reported in advance.

  4. Sanum is not guilty for interruptions caused by:

    • network providers, data centers or external disruptions

    • cyber attacks, DDoS attacks or security incidents

    • errors of the Client, scripts, plug-ins or software

    • force majeure situations (see article 6)


Article 5 – Domain names

  1. Sanum only registers domain names at the request of the Client.

  2. Registration is done under the conditions of the relevant registry (such as DNS Belgium, SIDN, EURid).

  3. Sanum is not liable for loss of a domain name due to late payment or incorrect data.

  4. In case of cancellation or payment judgments, the domain name can be blocked.


Article 6 – Force majeure

  1. Force majeure is defined as: circumstances that prevent performance and are not attributable to Sanum.

  2. This includes: power outages, data center failures, network attacks, regulations, strikes, employee failure, illness, pandemics.

  3. During force majeure, obligations are suspended without right to compensation.


Article 7 – Liability

  1. Sanum is only liable for direct damage, up to a maximum€10,000per event.

  2. Direct damage includes:

    • reasonable repair costs

    • demonstrable loss of production due to Sanum's error

  3. Indirect damageis excluded, including loss of turnover, data, profits, reputation, or consequential damage.

  4. Sanum is not liable for damage caused by:

    • the Client's website or software

    • hacking attempts or cybercrime

    • incorrect use or incorrect management by the Client

    • data loss due to Client negligence


Article 8 – Backups and Data

  1. Sanum makes automatic backups where possible (frequency depends on package).

  2. The Client remains responsible for its own backups.

  3. Sanum is not liable for data loss, unless demonstrably caused by gross negligence on the part of Sanum.


Article 9 – Obligations of the Client

  1. The Client may use services from Sanumnotuse for:

    • spam, phishing, malware, crypto mining

    • illegal content, copyright infringement or criminal activities

    • violation of privacy legislation (GDPR)

  2. Abuse will result in immediate suspension or termination.

  3. Client is responsible for:

    • correct configuration of website and applications

    • security of your own passwords

    • updates of CMS systems, plug-ins and scripts


Article 10 – Suspension and Termination

  1. Sanum may terminate the agreement immediately if:

    • Client is in arrears with payment

    • Client acts unlawfully or causes abuse

    • Client goes bankrupt or applies for a moratorium

  2. All claims become immediately due and payable.

  3. No refund in the event of premature termination by the Client.


Article 11 – Confidentiality

All information that parties obtain in the context of the implementation will be treated strictly confidential.

Article 12 – GDPR and Processing Agreement

  1. Sanum applies to hosting servicesprocessorfor data that the Client places on servers.

  2. Client remainscontroller.

  3. One will be provided upon requestprocessing agreementprovided.

  4. Sanum ensures appropriate technical and organizational security measures.

Article 13 – Applicable Law and Disputes

  1. On all agreementsDutch lawapplicable.

  2. Disputes will be submitted to the competent court in Sanum's place of business.

Article 14 – Final provisions

  1. Sanum may change these general terms and conditions.

  2. The most recent version always applies to the services.
